1. Agreement to Terms

Welcome to SHREDLY ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, services, and retreat experiences.

By accessing our website, making a booking, or participating in our retreats, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Eligibility

Age Requirements

  • You must be at least 18 years old to book a retreat

  • Participants under 18 must be accompanied by a parent or legal guardian who has also registered for the retreat

  • By booking, you confirm that you meet the age requirements

Capacity to Contract

You represent that you have the legal capacity to enter into this agreement and that all information you provide is accurate and complete.

3. Retreat Bookings and Reservations

Booking Process

  • All bookings must be made through our website or authorized booking channels

  • A booking is confirmed only when you receive written confirmation from us via email

  • We reserve the right to refuse or cancel any booking at our discretion

Deposit and Payment

  • Full payment is due at the time of retreat booking

  • All prices are in USD unless otherwise stated

  • Prices are subject to change, but confirmed bookings will honor the price at time of booking

Payment Methods

We accept payment via credit card, debit card, and other methods as indicated on our website. Payment processing is handled by secure third-party processors.

What's Included

Each retreat description specifies what is included in the price (e.g., accommodation, meals, activities, materials). Unless explicitly stated, the following are typically NOT included:

  • Airfare and transportation to/from the retreat location

  • Travel insurance

  • Personal expenses

  • Alcoholic beverages (unless specified)

  • Spa treatments or optional activities

  • Gratuities

4. Cancellations and Refunds

Cancellation by Customer

  • More than 60 days before retreat start date: 100% refund minus processing fees (3.2% of registration)

  • 60 days or less before retreat start date: No refunds available

  • Transfer option: Booking may be transferred to another person up to 4 days before retreat start date by contacting us at hello@shredly.com


Cancellation by Company

We reserve the right to cancel a retreat due to insufficient enrollment, weather conditions, safety concerns, force majeure events, or other circumstances beyond our control.

If we cancel a retreat:

  • You will receive a full refund of all amounts paid, OR

  • You may transfer your payment to another available retreat of equal or greater value

We are not responsible for any additional costs you may incur (such as non-refundable airfare or hotel bookings) if we cancel a retreat.

Transfer of Booking

  • You may transfer your booking to another person with at least 4 days' notice

  • The new participant must meet all eligibility requirements

  • You may transfer your booking to a future retreat with at least 10 days' notice, subject to availability 

No-Show Policy

If you fail to arrive at the retreat without prior notice, you forfeit all payments with no refund.

5. Travel Insurance

We strongly recommend that you purchase travel insurance to protect against unforeseen circumstances including:

  • Trip cancellation or interruption

  • Medical emergencies

  • Lost luggage

  • Travel delays

We are not responsible for costs incurred due to circumstances covered by travel insurance.

6. Health and Safety

Medical Conditions and Fitness

  • You are responsible for ensuring you are physically and mentally fit to participate in retreat activities

  • You must disclose any medical conditions, injuries, disabilities, dietary restrictions, or allergies that may affect your participation

Assumption of Risk

Retreat activities may include physical exercise, outdoor activities, water activities, adventure sports, meditation, or other practices that carry inherent risks. By participating, you acknowledge and assume all risks associated with these activities.

Medical Emergency Authorization

In the event of a medical emergency where you are unable to communicate or provide consent, you authorize SHREDLY staff to:

  • Contact emergency medical services (911 or local equivalent)

  • Arrange transportation to the nearest appropriate medical facility

  • Provide emergency responders with any relevant medical information you have disclosed to us

This authorization is limited to emergency care only. You remain responsible for all medical expenses incurred. We will attempt to contact your designated emergency contact as soon as reasonably possible.


COVID-19 and Illness

  • You agree not to attend a retreat if you are experiencing symptoms of contagious illness or have tested positive for any contagious illness

  • If you become ill before or during the retreat, our standard cancellation policy applies unless otherwise stated

7. Conduct and Behavior

Expected Behavior

Participants are expected to:

  • Treat staff, instructors, and other participants with respect and courtesy

  • Follow all retreat rules, schedules, and guidelines

  • Respect retreat property and the property of others

  • Refrain from illegal activities

  • Not attend retreat activities under the influence of alcohol or drugs (unless prescribed)

Prohibited Conduct

The following behaviors may result in immediate removal from the retreat without refund:

  • Harassment, discrimination, or abusive behavior toward others

  • Illegal drug use

  • Excessive alcohol consumption that disrupts the retreat

  • Damage to property

  • Behavior that endangers yourself or others

  • Any conduct we deem disruptive or inappropriate

We reserve the right to remove any participant whose behavior is deemed harmful or disruptive, with no refund.

8. Intellectual Property Rights

Our Content

All content on our website and retreat materials, including text, graphics, logos, images, videos, and software, is our property or our licensors' property and is protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Reproduce, distribute, or create derivative works from our content without permission

  • Use our trademarks or branding without written authorization

  • Remove copyright or proprietary notices from materials

Photography and Media Release

By attending a retreat, you grant us permission to photograph, film, and record you during the retreat and to use such media for promotional purposes including website, social media, and marketing materials.

If you do not wish to be photographed or filmed, you must notify us in writing upon arrival to the retreat.

Your Content

If you post reviews, testimonials, or other content on our website or social media, you grant us a non-exclusive, royalty-free, perpetual license to use, modify, and display such content.

9. Liability and Disclaimers

Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services or participation in retreats

  • Our total liability for any claim arising from your booking or participation shall not exceed the amount you paid for the retreat

  • We are not liable for the acts or omissions of third-party service providers (hotels, transportation companies, activity providers, etc.)

No Warranties

Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that:

  • Retreats will meet your expectations

  • Services will be uninterrupted or error-free

  • Any particular results will be achieved

Third-Party Services

Retreats may include services provided by third parties (accommodation, meals, activities, transportation). We are not responsible for the quality or safety of third-party services, though we make reasonable efforts to select reputable providers.

Personal Belongings

We are not responsible for loss, theft, or damage to your personal belongings during the retreat. Please secure your valuables and consider purchasing insurance.

10. Force Majeure

We are not liable for failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters (earthquakes, floods, hurricanes, wildfires)

  • Extreme weather conditions

  • Pandemic or epidemic

  • War, terrorism, or civil unrest

  • Government restrictions or regulations

  • Labor disputes

  • Failure of third-party service providers

In the event of force majeure cancellation:

  • We will make reasonable efforts to reschedule the retreat or provide alternative dates

  • Refunds will be provided to the extent we receive refunds from our third-party vendors (accommodation providers, activity operators, etc.)

  • If a full refund is not possible, we will offer a credit toward a future retreat equal to any amounts we recover from vendors

  • We are not responsible for any non-recoverable costs or expenses you incur, including but not limited to airfare, hotels, or other travel arrangements

  • We will communicate with you promptly about available options and expected refund amounts

We strongly recommend purchasing travel insurance to protect against losses due to force majeure events, as refunds in these circumstances cannot be guaranteed.


11. Privacy and Data Protection

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our services, you also agree to our Privacy Policy.

12. Communications

Email Communications

By providing your email address, you consent to receive:

  • Booking confirmations and retreat information

  • Important updates about your retreat

  • Newsletters and promotional communications (you may opt out at any time)

Contact Information

You are responsible for providing accurate contact information and updating it if it changes. We are not responsible for failed communications due to incorrect contact information.

13. Modifications to Services and Terms

Changes to Retreats

We reserve the right to make changes to retreat itineraries, venues, instructors, or activities due to circumstances beyond our control. We will notify you of material changes as soon as reasonably possible.

Minor changes do not entitle you to a refund, but significant changes may allow you to cancel with a full refund or transfer to another retreat.

Changes to Terms

We may update these Terms from time to time. Material changes will be posted on our website with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the new Terms.

For bookings made before Terms are updated, the Terms in effect at the time of booking will apply.

14. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict of law principles.

Informal Resolution

Before filing any legal claim, you agree to contact us at hello@shredly.com to attempt to resolve the dispute informally. Please provide a detailed description of the issue and your desired resolution. We are committed to working with you in good faith to address any concerns and will respond within 10 business days.

Most disputes can be resolved through open communication, and we value the opportunity to make things right.

Legal Venue

If informal resolution is unsuccessful, any legal action or proceeding arising from these Terms or your use of our services must be brought exclusively in the state or federal courts located in Garfield County, Colorado. You consent to the personal jurisdiction and venue of these courts.

Small Claims Court Exception

Either party may bring an individual claim in small claims court as an alternative to formal litigation, provided the claim qualifies under that court's jurisdictional requirements.

Limitation Period

Any claim arising from these Terms or your participation in a retreat must be filed within one (1) year from the date the claim arose. After one year, the claim is permanently barred.


15. Miscellaneous Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any retreat-specific terms, constitute the entire agreement between you and us regarding our services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.

No Partnership

Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and us.

Survival

Provisions that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) will survive the end of these Terms.

16. Indemnification

You agree to indemnify, defend, and hold harmless SHREDLY, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:

  • Your violation of these Terms

  • Your violation of any law or regulation

  • Your violation of the rights of any third party

  • Your conduct during a retreat

  • Your use of our services
